By accessing or utilizing UPTICK ("the Terminal"), you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service. If you do not agree to these terms, you must discontinue use of the site immediately.
2. Not Financial Advice / Not a Registered Broker-Dealer
UPTICK is an independent financial technology analytics interface and educational simulator. We are not an investment adviser registered with the U.S. Securities and Exchange Commission (SEC) or state securities authorities, nor are we a registered broker-dealer or member of FINRA/SIPC. All content, formulas, indicators, and tools are provided strictly for informational and quantitative research purposes.
3. Active Day Trading & Short Selling Risk Warning
HIGH-RISK WARNING: Short selling equities carries substantial, potentially unlimited risk of loss, because a security's price can increase indefinitely. Day trading on margin involves extreme volatility, borrow fees, short squeeze dynamics, locate recall risk, and potential total liquidation of your trading capital. Never commit funds you cannot afford to lose completely.
4. SEC Rule 201 Regulatory Scope
Mathematical calculations regarding Rule 201 Short Sale Restrictions (SSR) are derived from 17 CFR § 242.201 specifications. While our algorithms model the 10% decline threshold and National Best Bid restrictions accurately, real-time official exchange SIP regulatory halts and clearing-firm locate availability may differ during fast-market conditions.
5. Affiliate & Commercial Partnerships
In accordance with FTC guidelines (16 CFR Part 255), UPTICK discloses that we may maintain commercial relationships and referral agreements with featured direct market access (DMA) brokerages, electronic borrow desks, and algorithmic trading tools. When you open an account or subscribe to services through our links, we may receive compensation at no additional cost to you.
6. Limitation of Liability
In no event shall UPTICK, its contributors, or affiliates be liable for any trading losses, missed opportunities, slippage, system latency, or direct or consequential damages resulting from reliance on the Terminal's metrics or market simulations.
